Article A: Scope and Acceptance
This Agreement is between you and PolarTidal Tech Inc. In this document, "you" and "User" refer to the person using the Services, and "Company," "we," "us," and "our" refer to PolarTidal Tech Inc. This Agreement applies when you access or use our website, applications, and related services (collectively, the "Services").
By creating an account, accessing the Services, or participating in any competitions, you agree to comply with this Agreement.
Third-Party Notice: Some competitions, features, or content may be provided by third-party developers. PolarTidal Tech Inc. does not assume responsibility for third-party competitions or third-party services.
Article B: Eligibility and Location Restrictions
You may use the Services only if all of the following are true:
You are a natural person who is at least 18 years of age (or the age of legal majority in your jurisdiction)
You have legal capacity to enter into a binding contract
You are physically located in a jurisdiction where participation is permitted
You comply with this Agreement on an ongoing basis while using the Services
Restricted Locations (Current List): United States: Delaware, Louisiana, Maryland, Montana, Tennessee, Indiana, Maine, Texas. Participation is also prohibited in any other region where competitions violate local laws.
Article C: Accounts and Security
One Account Per Person: Only one Account is permitted per individual.
Account Responsibility: You are responsible for maintaining the confidentiality of your credentials and for activity conducted through your Account.
Security Notice: If you become aware of unauthorized access, suspected security incidents, or multiple accounts linked to your identity, you must notify us promptly.
Inactivity and Closure: Accounts with no recorded transactions for thirty (30) consecutive months may be closed, and balances may be handled in accordance with applicable escheatment laws.
Article D: License to Access the Services
Limited License: Subject to your compliance with this Agreement, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Services through supported web browsers or authorized mobile devices.
Permitted Use: You may use avatars and Digital Assets within the parameters provided through the Services. Participation is for personal entertainment purposes only and not for commercial use.
Article E: Competition Participation and Prohibited Conduct
Participation is intended for personal, recreational use. You must not:
Engage in fraudulent, collusive, manipulative, or deceptive activity
Use automated tools, bots, scripts, or artificial intelligence to participate
Sell, trade, rent, or transfer merchandise, winnings, or account privileges
Article F: Intellectual Property and User Content
Ownership: The Services and related materials are owned by the Company or its licensors and are protected by applicable intellectual-property laws.
Digital Assets: All in-game assets ("Digital Assets") remain our exclusive property. You receive only a limited, non-transferable license for personal use.
User Content License: You grant us a perpetual, worldwide, royalty-free license to use content you submit for purposes of operating and improving the Services. Where permitted by law, you waive moral rights in such content.
DMCA Notice Requirements: A copyright notice should include an authorized signature, identification of the copyrighted work, the location of the allegedly infringing material, contact information of the complainant, a good-faith statement that the use is unauthorized, and a statement under penalty of perjury that the information is accurate.
Article G: Changes to This Agreement
We may modify, amend, or replace any part of this Agreement at our discretion. Material changes may be communicated through website notices, email messages to registered accounts, or in-platform announcements. Changes take effect when posted, and continued use indicates acceptance.
Article H: Disclaimers, Limitation of Liability, and Indemnification
Limitation of Liability: To the fullest extent permitted by law, we disclaim liability for direct or indirect damages (including data loss and lost profits), third-party conduct or content, service interruptions, degraded performance, and unauthorized access or security breaches.
Indemnification: You agree to defend, indemnify, and hold the Company harmless from claims, damages, and expenses arising from violations of this Agreement, unlawful use of the Services, or infringement of third-party rights.
Article I: Dispute Resolution
Governing Law: This Agreement is governed by Nevada state law, excluding its conflict-of-laws principles.
Arbitration: Disputes shall be administered by the American Arbitration Association (AAA) under the AAA Commercial Arbitration Rules. Venue: a location within the United States. Decisions made by the arbitrator are final and binding. Only individual claims are permitted (class action waiver).
Waiver: Disputes must be brought only in an individual capacity. You waive participation in class, consolidated, or representative proceedings.
Article J: Miscellaneous and Contact
Force Majeure: We are not responsible for delays or failures caused by circumstances outside our reasonable control, including natural disasters, government actions, or infrastructure failures.
Severability: If any provision is found invalid, the remaining provisions remain enforceable.
Assignment: We may transfer our rights under this Agreement without obtaining your consent.
Entire Agreement: This Agreement supersedes all prior written or oral agreements or understandings.

Appendix 1: Plain-English Summary (Non-binding)
This summary is provided for convenience and does not change the binding Agreement.
If you use the Services, you must meet eligibility requirements, follow location restrictions, keep your account secure, participate manually (no automation), and treat Digital Assets as licensed rather than owned. Disputes are handled through arbitration administered by the AAA, and class-style proceedings are waived.
Appendix 2: Practical Examples (Non-binding)
Example 1 (Automation): Using scripts, auto-clickers, or tools that simulate repeated actions would be prohibited.
Example 2 (Location): Attempting to participate from a restricted location, or using tools to falsify location, may result in denial of access.
Example 3 (Transfers): Selling an Account or trading access credentials would be treated as prohibited transfer of account privileges.
Appendix 3: Quick Checklist (Non-binding)
Confirm you are at least 18 years of age and legally able to enter into this Agreement.
Confirm you are physically located in an eligible jurisdiction.
Use only one Account and keep credentials private.
Participate manually and avoid automation.
Do not sell, trade, rent, or transfer winnings or account privileges.
Appendix 4: Definitions and Interpretation (Non-binding)
This section is provided for clarity only. In the event of any inconsistency, the operative Articles A–J control.
Services: The Company’s platform, website, and authorized applications, and related features made available to users.
Platform: The web or app interface through which you access the Services.
Account: Your registered user profile and associated credentials.
Competitions: Promotions, challenges, or gameplay-related activities offered through the Services, including those provided by third parties.
Digital Assets: In-game items, virtual representations, and similar digital materials made available within the Services.
Article references: Headings and labels are for readability and do not limit the meaning of the provisions.
Appendix 5: Frequently Asked Questions (Non-binding)
Q: Are these Terms the only rules that apply?
A: These Terms apply to the Services generally. A particular competition may have additional rules that apply to that specific promotion.
Q: Do purchases affect competition outcomes?
A: Participation outcomes are governed by the applicable competition rules and the operation of the Services. These Terms do not guarantee prizes, outcomes, or eligibility.
Q: What is “automation”?
A: Automation includes scripts, macros, tools that simulate clicks, or any workflow designed to interact with the Services without direct, continuous human control.
Q: Can I share my Account?
A: No. Accounts are intended for individual use. Sharing credentials increases security risk and may violate these Terms.
Q: How should I contact support?
A: Use the contact address listed in Article J and provide enough detail for troubleshooting, such as the type of issue and the date/time it occurred.
Appendix 6: Dispute Process Walkthrough (Non-binding)
This walkthrough summarizes the dispute provisions in practical terms. It does not replace Article I.
Step 1: Identify the issue. Keep a brief record of what happened, including dates, screenshots (if relevant), and the account email used.
Step 2: Contact support. Many issues can be resolved through ordinary support channels without a formal dispute.
Step 3: If a dispute remains, arbitration applies. Article I describes arbitration administered by the American Arbitration Association (AAA) under the AAA Commercial Arbitration Rules. Arbitration is intended to be an alternative to court litigation.
Step 4: Claims are individual only. The waiver in Article I means you and the Company agree not to pursue class, collective, consolidated, or representative proceedings.
Step 5: The arbitrator’s award is final. Once issued, the decision is binding on the parties as described in Article I.
Appendix 7: Account Safety Guide (Non-binding)
Use unique credentials: Avoid reusing passwords across services. A password reused elsewhere can expose your Account if another service is compromised.
Keep devices updated: Install security updates for your operating system and browsers to reduce the risk of malware and credential theft.
Watch for phishing: The Company will not ask you to share your password. Be cautious of messages that pressure you to click links or provide credentials.
Report quickly: If you suspect compromise, notify support promptly so security steps can be taken.
Appendix 8: Additional Compliance Notes (Non-binding)
Regional availability can change: Jurisdictional availability may be reviewed over time. If a jurisdiction becomes restricted, access may be limited until you are in an eligible location.
Developer-specific rules: Third-party competitions may have additional rules. Those rules can apply in addition to this Agreement for that specific competition.
No guaranteed outcomes: Participation does not guarantee prizes or redemption eligibility. Outcomes can depend on competition mechanics, verification, and lawful availability.
