1. Binding Agreement
This Terms of Service ("Agreement") serves as a legally enforceable contract between you ("User," "you," or "your") and PolarTidal Tech Inc. ("Company," "we," "us," or "our"). By creating an account, accessing our digital platform, downloading any mobile applications, or taking part in any competitions, you confirm that you have read, understood, and unconditionally agree to be bound by every term and condition outlined herein.
Critical Understanding: Your participation does not make PolarTidal Tech Inc. responsible for competitions or services provided by third-party developers. You represent and warrant that you have full legal authority and capacity to accept these Terms.
2. License Grant & Modification Rights
2.1 Limited License Grant
Upon your ongoing compliance with this Agreement, we grant you a limited, personal, non-exclusive, non-transferable, and revocable license to:
Access and use the Platform along with all related content via supported web browsers or authorized mobile devices
Utilize platform avatars and digital assets within the specified parameters
Participate in competitions solely for personal entertainment purposes
2.2 Modification Procedures
We reserve the sole right to modify, amend, or replace any part of this Agreement at our own discretion. Material changes will be communicated through:
Prominent notifications on the website
Direct email messages to registered accounts
In-platform announcement systems
Changes take effect immediately upon being posted. Your continued use of the Platform after any modifications indicates your unqualified acceptance of the revised terms.
3. Eligibility Verification
3.1 Qualification Requirements
To register an Account or participate in competitions, you must:
Be a natural person who is at least eighteen (18) years old or has reached the age of legal majority in your jurisdiction
Possess full legal capacity to enter into binding contracts
Be physically located in jurisdictions where participation is explicitly allowed
Maintain ongoing compliance with all terms of this Agreement
3.2 Prohibited Jurisdictions (Current List)
United States: Delaware, Louisiana, Maryland, Montana, Tennessee, Indiana, Maine, Texas.
Any other region where competitions violate local laws.
4. Account Management Protocols
4.1 Account Governance
Only one Account is permitted per individual for their lifetime
Immediate notification is required if you discover:
Unauthorized access to your Account or security breaches
Multiple accounts linked to your identity
You are solely responsible for:
Keeping your login credentials confidential
All activities carried out through your Account
4.2 Inactivity Policy
Accounts with no recorded transactions for thirty (30) consecutive months will have their balances handled in accordance with applicable escheatment laws and may be permanently closed.
5. Competition Rules
Participation Standards
Participation is for personal, recreational purposes only
The following actions are strictly prohibited:
Fraudulent, collusive, or manipulative activities
Use of automated tools, bots, or artificial intelligence
Sale or trade of merchandise, winnings, or account privileges
6. Intellectual Property Protection
6.1 DMCA Compliance Protocol
Claims of copyright infringement must include:
Physical or electronic signature of an authorized representative
Detailed description of the copyrighted work
Location of the infringing material
Contact information of the complainant
Statement of good faith belief that the use is unauthorized
Verification of the accuracy of the information under penalty of perjury
6.2 User Content License
You grant us a perpetual, worldwide, royalty-free license to use all content you submit. Where allowed by law, you waive all moral rights in such content.
6.3 Digital Assets Ownership
All in-game assets ("Digital Assets") remain our exclusive property. You are granted only a limited, non-transferable license for personal use.
7. Liability Framework & Indemnification
7.1 Limitation of Liability
To the fullest extent permitted by law, we disclaim liability for:
Direct or indirect damages (including data loss, lost profits)
Conduct or content from third parties
Service interruptions or quality degradation
Unauthorized access or security breaches
7.2 User Indemnification Obligation
You agree to defend, indemnify, and hold the Company harmless from all claims, damages, and expenses arising from:
Violations of this Agreement
Illegal use of the Services
Infringement of third-party rights
8. Dispute Resolution Protocol
8.1 Governing Law
This Agreement shall be governed by the laws of the state of Nevada, excluding its conflict of laws principles.
8.2 Mandatory Arbitration
All disputes shall be administered by the American Arbitration Association (AAA)
Conducted under the AAA Commercial Arbitration Rules
Venue: Jurisdiction within the United States
Only individual claims are permitted (class action waiver)
Decisions made by the arbitrator are final and binding
8.3 Dispute Resolution Waiver
You agree to resolve disputes on an individual basis and waive any right to participate in class, consolidated, or representative actions.
9. General Provisions
9.1 Force Majeure
We shall not be liable for events beyond our reasonable control, including natural disasters, government actions, or infrastructure failures.
9.2 Severability
If any provision of this Agreement is found to be invalid, the remaining provisions shall remain fully enforceable.
9.3 Assignment Rights
We may transfer our rights under this Agreement without obtaining your consent.
9.4 Entire Agreement
This Agreement constitutes the complete understanding between the parties and supersedes all prior agreements or understandings, whether written or oral.
